These Terms & Conditions (“Terms”) govern your use of our website, services, and any content provided by KOFISH.

1. Use of Website

2. Service Engagement and Proposals
2.1 Any service request, proposal, or quotation provided by KOFISH is non-binding until a formal agreement or invoice is issued.
2.2 Project timelines, deliverables, pricing, and terms will be clearly defined in the service agreement for each client.
2.3 We reserve the right to accept or decline project requests based on availability, scope, or suitability.
3. Payments and Billing
3.1 Fees must be paid according to the terms stated in the service agreement or invoice.
3.2 Late payments may result in project delays, suspension of work, or additional charges.
3.3 All fees paid for completed work are non-refundable unless otherwise agreed in writing.
3.4 Currency, payment method, and tax responsibilities will be clearly outlined for each project.
4. Client Responsibilities
4.1 The client must provide accurate information, brand assets, access credentials, and approvals required to complete the project.
4.2 Any delay caused by missing information or late approvals may extend project timelines.
4.3 The client is responsible for ensuring that their content, products, and marketing requests comply with applicable laws in their region.
5. Intellectual Property
5.1 All original content created by KOFISH (designs, strategies, written content, videos, etc.) remains KOFISH property until full payment is received.
5.2 After full payment, ownership of deliverables transfers to the client unless stated otherwise.
5.3 KOFISH retains the right to showcase completed projects in our portfolio unless the client requests otherwise in writing.
6. Confidentiality
6.1 Both parties agree to keep confidential information private, including business strategies, login credentials, and sensitive data.
6.2 Confidentiality obligations remain in effect even after the project is completed.
7. Limitation of Liability
7.1 KOFISH is not liable for:

Losses caused by incorrect information provided by the client

External system failures (e.g., Instagram, TikTok, YouTube API errors)

Third-party platform policy changes

Loss of revenue, profits, data, or business opportunities
7.2 Our maximum liability is limited to the total amount paid by the client for the service in question.
8. Third-Party Tools & Platforms
8.1 Our work may involve third-party platforms such as Instagram, TikTok, YouTube, Google, Meta, Naver, and hosting providers.
8.2 We are not responsible for outages, suspensions, or changes caused by these platforms.
8.3 Clients must comply with each platform’s terms and policies.
9. Termination
9.1 Either party may terminate a project in writing with reasonable notice.
9.2 Work completed prior to termination must be paid in full.
9.3 Deposits and partial payments may be non-refundable depending on project progress.
10. Governing Law
These Terms shall be governed by and interpreted in accordance with the laws of:

Republic of Korea (South Korea), if the client is located in Korea

The client’s local jurisdiction, for international clients where required
Any dispute shall be resolved through negotiation first, and if necessary, mediation or legal proceedings.
11. Changes to These Terms
We may update this Terms & Conditions document at any time.
